# DryDock Kit — Commercial License **Version 2.1** · applies to DryDock Kit 1.x > **Not legal advice.** This license was drafted as a working document for a > commercial software product. It has not been reviewed by a lawyer in every > jurisdiction where it may be used. The Licensor should have it reviewed > before relying on it, and you should too if your use is unusual. This license comes in two tiers. Which one you hold is shown on your purchase receipt (from Dodo Payments, the merchant of record for drydockkit.com). Everything in this document applies to both tiers unless a section says otherwise. ## Summary This summary is for convenience. Definitions - **"Product"** — the DryDock Kit source code, documentation, configuration, scripts, tests and assets delivered to you, including updates you receive. - **"Licensor"** — the copyright holder who sells the Product, as identified at drydockkit.com, where the Product is sold. - **"Licensee"** / **"you"** — the purchaser named on the receipt: an individual for the Developer License; an individual or an organization for the Teams License. - **"Licensed Developer"** — a natural person who is allowed to work with the Product's source code under your license (§3). - **"End Product"** — a software application or service built with the Product that delivers functionality substantially beyond the Product itself. A starter kit, boilerplate, template, scaffold or code generator is never an End Product. - **"Client"** — a third party that owns an End Product you build for it. ## 2. Grant of license On payment in full, the Licensor grants you a perpetual, worldwide, non-exclusive, non-transferable license to: 1. use and modify the Product without restriction on as many machines as you need; 2. incorporate it into End Products permitted by your tier (§4, §5); 3. deploy those End Products, publicly or privately, and charge their users; 4. keep using any version you received, even after your updates period ends or a newer major version is released. ## 3. Licensed Developers - **Developer License:** one Licensed Developer, the purchaser. - **Teams License:** up to ten (10) Licensed Developers ("collaborators") at any one time, each an employee or contractor of the Licensee organization. You may reassign a place when someone leaves. Anyone else who works with the Product's source code needs their own license, except as §5 allows for a Client's developers. People who only use a deployed End Product (your customers, testers, designers who never touch the source) do not count. ## 4. What each tier may build **Developer License.** Unlimited End Products that are owned by you, or by a company you own or are employed by, provided you are that company's only Licensed Developer for the Product. Building an End Product for a Client is not permitted under this tier. **Teams License.** Unlimited End Products owned by the Licensee organization, and unlimited End Products built for Clients. ## 5. Client work (Teams License only) When you build an End Product for a Client: 1. You may deliver the End Product, including its source code, to the Client. 2. The Client, and developers the Client engages, may operate, maintain and extend **that End Product** without buying their own license. 3. The Client may not use the Product's source to start other projects, and may not redistribute it. Those rights stay with a license holder. 4. You remain responsible for making the Client aware of these limits. ## 6. AI coding assistants You may give the Product's source code to AI coding assistants and similar tools (for example Claude Code, Cursor or Codex) as context while developing your End Products. This is use, not redistribution. You are responsible for choosing tools whose terms do not grant their provider a right to publish or redistribute your code. ## 7. Restrictions Under either tier, you may **not**: 1. sell, sublicense, rent, lease, share or otherwise redistribute the Product, in whole or in substantial part, as source code, a template, a boilerplate or a starter kit, whether modified or unmodified, and whether paid or free; 2. publish the Product's source code, or an End Product's source code that contains substantial parts of the Product, in a public repository or any other publicly accessible place, without the Licensor's written permission; 3. build a product whose primary value is the Product itself, such as a competing starter kit, boilerplate, scaffold, course codebase or code generator; 4. remove or obscure copyright notices in the Product's files; 5. share your download links or purchase credentials. ## 8. Updates and support Your license includes every release in the Product's **1.x** version line that the Licensor publishes. A future major version (2.0 and later) may be sold separately. The Licensor does not promise any particular release, date or frequency. Support and the update process are described in `SUPPORT.md`. They are not contractual obligations under this license. ## 9. Third-party components The Product incorporates open-source components, each governed by its own license, listed in `THIRD_PARTY_LICENSES.md`. Nothing in this license enlarges or restricts your rights in those components, and your obligations under their licenses continue to apply. ## 10. Ownership The Product is licensed, not sold. The Licensor retains all right, title and interest in the Product, including all intellectual property rights. You own the code you write and the End Products you build, apart from the parts of the Product they contain, which remain licensed under these terms. ## 11. Warranty disclaimer THE PRODUCT IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. **Security in particular.** The Product implements the security practices its documentation describes, and includes tests and tooling that check them. None of that is a security audit, a certification or a guarantee. You are responsible for the security, compliance, availability and correctness of anything you deploy. ## 12. Limitation of liability TO THE EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE PRODUCT OR ITS USE. The Licensor's total aggregate liability shall not exceed the amount you paid for this license. ## 13. Termination This license terminates automatically if you breach §7. On termination you must stop using the Product and destroy all copies in your possession. End Products deployed before termination may continue to operate. ## 14. Changing tier and refunds To move from a Developer License to a Teams License, contact the Licensor at support@drydockkit.com.
